VAT
Our quotation is exclusive of VAT, which will be charged at the rate ruling on the date of dispatch. As security system works do not fall within the Construction Industry Scheme, reverse VAT rules do not apply to these works.
Works
To carry out the works we require unrestricted access to the site during normal working hours i.e. 9.00am to 5.00pm. Out of hours working can be arranged but would be charged at our higher hourly rates and is not included in this quotation unless stated. We would appreciate 10 working days’ notice to arrange an engineer’s visit, but will endeavor to commence earlier if possible. The price does not include any charges arising from removing and replacing stock, furniture, carpets, fixtures and fittings that may be necessary.

Validity
This quotation is valid for a period of 30 days from the tender date for orders placed within that time and for delivery within the stated delivery period.
Warranty
All equipment carries a 12-month warranty covering manufacturing defects and poor workmanship. Annual servicing subject to a service contract being in place with PAD Security Systems from the date of commissioning.
Delivery
Standard equipment is generally supplied from stock, but it is advisable to allow 2-4 weeks wherever possible in case of temporary stock shortages.
Liabilities
If we are required to attend site on a call out PAD Security Systems will attend site (subject to additional charges) and aim to repair the system as quickly as possible but cannot account for all situations that may arise including staffing schedules and parts availability. PAD Security Systems does not accept any liability for any incident that may arise from a system being faulty during the period of repair.
The Customer must ensure that the relevant areas are easily accessible and safe i.e. that stock, furniture, etc are moved or secure. The Engineer(s) will carry out a risk assessment before carrying out any works and bring to note any concerns they have to the Customer. PAD Security Systems reserve the right not to carrying out any works where the Health & Safety of the Engineer(s) would be compromised.
PAD Security Systems does not accept any liability for any damage caused whilst carrying out any works i.e., drilling holes, fixing equipment to surfaces, etc. Where the Engineer(s) have concerns about likely damage the Customer will be consulted before work is continued.
Apart from death or personal injury, the aggregate liability of the Installer and its staff for any breach of contract, breach of statutory duty or negligence arising out of this contract, or presence at the Customers is limited by guarantee of the insurance policy held by PAD Security Systems for any kind of loss or damage whatsoever. The Customer shall notify the Installer of any claims within 30 days of the occurrence giving grounds for such claims.
PAD Security Systems Obligations
PAD Security Systems will, for the duration of the Maintenance Contract period specified, carry out service and maintenance of the Customers system.
PAD Security Systems agrees, subject to reasonable access to the site and the system being available, to inspect, test and adjust the installation and to carry out all necessary maintenance on the number of visits set out in the maintenance contract in accordance with standards during normal working hours (Monday to Friday 09.00 to 17.00), unless otherwise arranged, upon giving reasonable notice to the Customer of any visit for this purpose.
Customers Obligations
The Customer agrees to pay in addition to the maintenance contract price for the cost of any works from time to time required to upgrade the installation to a state which complies with the relevant standards. Not to permit anyone (including the Customer Themselves) other than PAD Security Systems to adjust or interfere with the system or any part thereof. In the event of a breach of this provision PAD Security Systems shall be entitled to terminate the Maintenance Contract forthwith upon its discovery.
To permit PAD Security Systems staff from time to time to have access to the Customer’s premises at all reasonable times.
Termination of the Maintenance Contract
Either party may terminate the maintenance contract by not less than one month’s notice in writing to that effect to expire upon the day before any anniversary of such maintenance contract.
If the contract is terminated in any 12-monthperiod, no refund of monies paid for the contract will be due.
Force Majeure
Any failure by PAD Security Systems to perform any of its obligations by reason of any cause beyond the control of PAD Security Systems shall be deemed not to be a breach of this contract.
Applicable Law and Category of Jurisdiction
This contract is subject to the Laws of England and Wales and the parties shall submit to the jurisdiction of the Courts thereof.
